This Confidentiality Agreement (this “Confidentiality Agreement”) applies to your access to and use of the Platform provided by Polymath AI Labs, Inc. (“Polymath,” “we,” “us,” or “our”), whether you are browsing the Platform, submitting an application to become a Fellow, completing an assessment, or actively performing paid work through the Platform (in each case, as those terms are defined in Polymath's Terms of Use, the “ToU”). This Confidentiality Agreement supplements, clarifies, and confirms your confidentiality obligations under the ToU, specifically Section 9 (Confidentiality) and Section 10 (Public Communications and Social Media) of the ToU (together, your “Confidentiality Obligations”). You must read and accept this Confidentiality Agreement to continue accessing or using the Platform, including to continue an application or to continue performing Tasks. By clicking “I Agree,” you agree to abide by and be bound by this Confidentiality Agreement.
This Confidentiality Agreement incorporates the ToU by reference. If this Confidentiality Agreement conflicts with the ToU, this Confidentiality Agreement controls with respect to your Confidentiality Obligations; the ToU otherwise continues to apply. Unless defined in this Confidentiality Agreement, capitalized terms have the meanings given to them in the ToU.
1. Scope of Confidential Information
For clarity, and without limiting the definition of “Confidential Information” in Section 9 of the ToU, you acknowledge and agree that Confidential Information includes:
- any Project instructions, source data, prompts, seed tasks, environment specifications, grading and scoring logic, reference solutions, and model outputs provided to you or that you access through the Platform — whether while browsing, applying, completing an assessment, or performing a Task — whether or not marked “confidential”;
- all Work Product, if any, including RL environments and environment code, evaluation suites, benchmarks, datasets, and associated records, whether finished or in progress;
- any assessment, interview, or screening materials Polymath shares with you as an applicant, including sample tasks, test questions, or evaluation rubrics;
- the identity of any Client, and the existence, nature, or scope of any Project or your engagement generally;
- any non-public business, technical, product, or roadmap information of Polymath or a Client that you learn in the course of your engagement; and
- any data or information generated or obtained by or on behalf of you that contains, reflects, or is derived from any of the foregoing, in any form, whether disclosed, generated, or obtained before or after the effective date of your acceptance of this Confidentiality Agreement.
2. Your Obligations
With respect to Confidential Information, you acknowledge and agree that you:
- will hold all Confidential Information in strict confidence and will not disclose it to any third party without Polymath's express prior written consent;
- will not use Confidential Information for your own benefit or the benefit of any third party, or for any purpose other than applying to, being assessed for, or performing Tasks for Polymath;
- will not reproduce, copy, or store Confidential Information except as required to complete an application, an assessment, or a Task;
- will not reverse-engineer, decompile, or attempt to extract or recreate any Client's underlying model, training pipeline, or proprietary systems from Confidential Information, and will not create derivative works from Confidential Information outside the scope of an authorized Task or your permitted use of the Platform;
- will not make any public statement, post, press release, portfolio entry, or other disclosure (including on LinkedIn, other social media, or personal websites) about Polymath, any Client, your engagement, or the nature or scope of your Tasks, except as expressly permitted by Section 10 of the ToU;
- will promptly notify Polymath of any unauthorized use or disclosure of Confidential Information that you become aware of, and will reasonably cooperate with Polymath to remedy it; and
- will, promptly upon completion of the relevant Project, the conclusion of your application, or Polymath's request (whichever applies), destroy or deliver to Polymath (at Polymath's option) all Confidential Information and materials containing or reflecting it, and cease all further use of it.
If you are compelled by a court or governmental authority of competent jurisdiction to disclose Confidential Information, you will, to the extent legally permitted, give Polymath prompt written notice (by emailing support@polymathlabs.ai) before disclosure, and will reasonably cooperate, at Polymath's expense, if Polymath wishes to seek a protective order or otherwise contest the disclosure.
You acknowledge that these obligations are reasonable and necessary to protect Polymath's and its Clients' Confidential Information, and that a breach or threatened breach would cause irreparable injury for which monetary damages alone would be an inadequate remedy. Accordingly, in addition to any other remedies available at law or in equity, Polymath is entitled to seek injunctive relief to prevent any actual or threatened breach of this Confidentiality Agreement, without the necessity of proving actual damages or posting a bond, to the extent permitted by applicable law.
3. Indemnification; Survival
To the fullest extent permitted by applicable law, you will indemnify, defend, and hold harmless Polymath, its affiliates, and their respective officers, directors, employees, and agents from and against any losses, liabilities, claims, damages, expenses, or costs (including reasonable attorneys' fees) arising out of or related to your breach of your Confidentiality Obligations or this Confidentiality Agreement. This indemnity is in addition to, and not in place of, any indemnification obligations you have under the ToU.
Your obligations under this Confidentiality Agreement continue for five (5) years after the later of (a) your last access to or use of the Platform, or (b) if you performed any Tasks, the end of your engagement with Polymath, except that, with respect to any Confidential Information that constitutes a trade secret under applicable law, your obligations continue for as long as that information remains a trade secret.
4. Third-Party Beneficiaries
Polymath's Clients are intended third-party beneficiaries of this Confidentiality Agreement with respect to their own Confidential Information, and may enforce this Confidentiality Agreement directly against you to that extent.
5. Relationship to the ToU; General
This Confidentiality Agreement supplements, and does not replace, your obligations under the ToU. Section 21 of the ToU (Dispute Resolution; Arbitration Agreement; Class Action Waiver) and Section 22 of the ToU (Governing Law) apply to this Confidentiality Agreement as if fully set forth herein, and any dispute arising out of or relating to this Confidentiality Agreement will be resolved under those provisions. If any provision of this Confidentiality Agreement is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be so modified, and the remaining provisions will remain in effect.
